How do I set an NDA?

In FirmRoom, you can require members to sign a Non-Disclosure Agreement (NDA) before they can access a room. This is a critical feature for ensuring compliance and protecting sensitive information.


This article outlines how to enable the NDA requirement and how to customize the agreement's terms.


Enabling the NDA Requirement


To activate the NDA requirement for your room:

  1. Open the room and click the Settings tab in the top menu.
  2. In the left-hand menu, select Non-Disclosure Agreement.
  3. Toggle Enable Non-Disclosure Agreement to the "on" position. This will immediately require new members to sign the NDA.
  4. Choose when the NDA should be presented to members:
  • Every login: The NDA is presented each time the user logs into the room.
  • First login: The NDA is presented only on the user's initial login.


Customizing the NDA Terms


You can easily edit the default agreement text to meet your specific legal or compliance requirements:

  1. On the same Non-Disclosure Agreement page, locate the Edit Terms section.
  2. The text editor displays the current NDA text. Customize this text by typing or pasting your preferred terms directly into the field.
  3. Once you have finished editing, ensure you click the Save changes button at the bottom of the editor to apply the new terms.



Important Notes on NDAs
  • Admin-Only Access: Only Admins have the ability to set, enable, and edit the text of the NDA.
  • Acceptance is Required: Members must accept the terms as written; there are no redline abilities or options to negotiate the terms.
  • Audit Trail: When members accept the NDA, this action is recorded in the Audit log. Admins can access the Audit log to track compliance for all users.
